STANDARD TERMS AND CONDITIONS FOR SUPPLY OF GOODS & SERVICES

1. DEFINITIONS

In this document the following words shall have the following meanings:

1.1 “Customer/You” means any person or entity who purchases Goods and/or Services from the Supplier.
1.2 “Goods” means the products We sell to You as set out in your Order.
1.3 “Services” means the services We provide to You as outlined in the Order.
1.4 “Order” means your online or written order for Goods and/or Services.
1.5 “We/Us/Supplier” means Rodstation USA LLC, headquartered in Massachusetts, USA, and authorized to supply within the United States and Canada.
1.6 “Our” means Rodstation USA LLC and any assets, media, or operations under its control.
1.7 “Terms and Conditions” means the terms set out in this document and any specific terms agreed in writing.
1.8 “Force Majeure” means any event outside of Our reasonable control as described in Section 11.


2. GENERAL TERMS

2.1 These Terms and Conditions govern the sale and supply of Goods and Services by Us to You.
2.2 Please read these Terms carefully. By placing an Order, you confirm that the information provided is accurate and that you agree to be bound by these Terms.
2.3 Submitting an Order does not confirm acceptance. A contract is formed only when You receive written Order confirmation from Us.
2.4 We reserve the right to decline any Order at Our sole discretion.
2.5 Our website is intended for customers located in the United States and Canada. We currently deliver to addresses within the U.S. and Canada.
2.6 Product images and specifications on Our website or catalog are for illustration purposes only. Minor variances in color or dimensions may occur.


3. ORDER CHANGES & CANCELLATIONS

3.1 Orders cannot be changed or canceled once submitted, except at Our discretion.
3.2 Custom or made-to-order Goods cannot be canceled or modified once production has begun.
3.3 If a product is unavailable after You place an Order, We will notify You and issue a refund for the unavailable item(s).


4. CUSTOM GOODS

4.1 Custom orders are made based on the measurements and specifications You provide.
4.2 Rodstation USA is not responsible for errors resulting from incorrect measurements submitted by You.


5. DELIVERY

5.1 Standard delivery time is 5–10 business days from dispatch.
5.3 Deliveries occur Monday–Friday during normal business hours.
5.5 Shipping is available within the continental United States and Canada only.
5.6 Your contact information may be shared with our shipping partner for delivery purposes.
5.7 Deliveries are made to the curbside. It is your responsibility to receive and move the products.
5.8 Adequate access and unloading space must be provided. Delivery may be refused if access is unsafe.
5.9 Goods must be inspected on arrival. Damaged or missing items must be noted on the delivery receipt and reported within 3 business days.
5.10 Responsibility for the Goods transfers to You upon delivery.
5.11 Rodstation USA is not responsible for damage incurred during unloading.
5.12 Orders must be shipped to the billing address on file within the United States or Canada.
5.13 We are not liable for delivery delays caused by circumstances beyond Our control.


6. PRICING & PAYMENT

6.1 Prices are listed on our website and confirmed at checkout.
6.2 Prices are shown in U.S. Dollars and include applicable sales tax unless otherwise noted.
6.3 Delivery charges are calculated separately.
6.4 Full payment is required at the time of Order.
6.5 Orders may be canceled if payment authorization fails or a pricing error occurs.
6.6 Ownership of Goods transfers only after full payment is received.


7. CUSTOMER RESPONSIBILITIES

You agree to:
7.1 Cooperate with Us in fulfilling your Order.
7.2 Provide accurate and timely information as requested.


8. OUR RESPONSIBILITIES

8.1 We warrant that Goods will conform to descriptions at the time of delivery.
8.2 Services will be delivered with reasonable care, skill, and industry standards.
8.3 We will ensure all tools and materials used are maintained and safe for use.


9. DEFECTIVE GOODS POLICY

9.1 Returns are only accepted for defective or damaged Goods.
9.2 If You receive Goods that are defective, damaged, or incorrect, You must contact Us within 3 business days of delivery to report the issue.
9.3 To be eligible for a return or replacement, the Goods must be unused and in their original packaging.
9.4 You may be required to provide photo evidence or return the defective Goods for inspection.
9.5 Approved returns will be refunded or replaced at Our discretion.
9.6 Shipping costs for defective items will be covered by Rodstation USA.
9.7 No other returns or exchanges are accepted under any circumstances, including buyer’s remorse or ordering mistakes.


10. LIMITATION OF LIABILITY

10.1 Rodstation USA is not responsible or liable for for death or personal injury caused by negligence using the product.
10.2 Our liability for damages shall not exceed the value of the Goods or Services purchased.
10.3 We are not liable for indirect, incidental, or consequential damages, including loss of income or business.


11. FORCE MAJEURE

We are not liable for failure to perform due to causes beyond Our control, including but not limited to: natural disasters, labor strikes, delays by carriers, war, government actions, or shortages of materials. Affected obligations will be suspended for the duration of the event.


12. SEVERABILITY

If any part of these Terms is found to be invalid or unenforceable, the remainder shall remain in full force and effect.


13. GOVERNING LAW

These Terms and any dispute or claim shall be governed by the laws of the Commonwealth of Massachusetts, applicable U.S. federal law, and where applicable, the federal and provincial laws of Canada. All disputes will be subject to the exclusive jurisdiction of the courts of Massachusetts or relevant Canadian jurisdictions depending on the customer’s location.


14. PRIVACY

14.1 We will use your personal information to:

  • Fulfill Orders and provide Services
  • Process payment
  • Notify You of related products and updates (opt-out available)

14.2 We do not sell or share your personal information with third parties without your consent.
